Terms of Service
These Terms of Service (“Terms”) govern access to and use of Kivo (the “Service”), including the website, web application, and mobile applications provided by CloudKing Systems. By creating an account or using the Service, you agree to these Terms.
1. The Service
Kivo is an inventory and operations platform for businesses and institutions (including multi-location stock, sales, distribution, team roles, and related features). Features available to you may depend on your organization type, subscription plan, and assigned role.
2. Accounts and eligibility
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding login credentials and for activity under your account.
- Notify us promptly of unauthorized use at kivo@cloudkingsystems.com.
- We may refuse, suspend, or terminate accounts that violate these Terms or pose a security risk.
3. Organizations, roles, and your data
- Organization owners and admins control membership, roles, and much of the data within their organization.
- You are responsible for the lawfulness of data you upload (including customer, student, staff, or recipient details).
- You must have any required consent or legal basis to process personal data of third parties in the Service.
- We process personal data as described in our Privacy Policy.
4. Acceptable use
You agree not to:
- Use the Service for unlawful, harmful, or fraudulent purposes.
- Attempt to gain unauthorized access to systems, other accounts, or non-public areas of the Service.
- Interfere with or disrupt the Service, or bypass usage limits or security controls.
- Upload malware or content that infringes others’ rights.
- Resell, white-label, or misuse the Service except as expressly allowed in writing.
- Reverse engineer the Service except where prohibited from restriction by law.
5. Subscriptions and payment
- Some features require a paid subscription. Prices, plan limits, and billing periods are shown at purchase or in the admin/portal.
- Fees are generally non-refundable except where required by law or expressly stated otherwise.
- Failure to pay may result in suspension or limited access until payment is resolved.
- We may change pricing with reasonable notice for subsequent billing periods.
6. Intellectual property
The Service, including software, design, logos, and documentation, is owned by CloudKing Systems or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service for your internal business or institutional purposes during your subscription. You retain ownership of data you submit to the Service.
7. Availability and changes
We aim to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features with reasonable notice where practicable. We may perform maintenance that temporarily limits access.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. You are responsible for verifying critical inventory, financial, and operational decisions.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDKING SYSTEMS AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR UGX EQUIVALENT), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.
10. Indemnity
You agree to defend and indemnify CloudKing Systems against claims arising from your use of the Service, your organization’s data, or your violation of these Terms or applicable law.
11. Termination
- You may stop using the Service at any time and may request account deletion as described on our website or Privacy Policy.
- We may suspend or terminate access for breach of these Terms, non-payment, or risk to the Service or others.
- Provisions that by nature should survive (e.g. IP, disclaimers, liability limits) will survive termination.
12. Governing law
These Terms are governed by the laws of Uganda, without regard to conflict-of-law rules. Courts in Uganda shall have exclusive jurisdiction, except where mandatory consumer protections in your country of residence apply.
13. Changes to these Terms
We may update these Terms by posting a revised version and updating the effective date. Continued use after changes become effective constitutes acceptance, except where law requires additional consent.
